Prima Group has various and diversified experience covering different fields, as Prima Group carried out many significant and vital projects, some of these projects are set below:
First: Strategic Studies
1- Prepared a Study on the Adjudication and Enforcement of Judicial rulings in the Kingdom of Saudi Arabia for the Saudi General Investment Authority (SAGIA), with the objective of identifying the most important issues that impede or affect the issuance and enforcement of judicial rulings and the decisions of quasi-judicial committees. The Study was submitted by SAGIA to the concerned authorities which considered most of its recommendations.
2- Prepared a Guidebook on Litigation Procedures in the Kingdom of Saudi Arabia in the benefit of SAGIA. The purpose of the guidebook was to identify all the laws and procedures related to litigation in the Kingdom, so that the reader could gain a general and clear overview of the judicial system and it’s procedures, as well as rules of pleading before the judicial authorities.
3- Conducted a comparative legal study of laws relating to anti-bribery both in the Kingdom of Saudi Arabia and the United Kingdom. The study was presented to Berkeley Group.
4- Prepared a legal study that identified the legal regulatory requirements that must met by public joint stock companies in order to comply with the provisions of the latest Saudi Company Act dated (2015G-1437H). The Study was presented to Shuaibah Water & Electricity Co, public joint stock company and Shuaibah Expansion Project Company (SEPCO).
5- Submitted reports for the Saudi Arabian Airlines (Saudia) regarding it’s dealing with the European Union decision on carbon emissions.
6 . Preparation of draw up a legal consultation on the legal procedures and requirements necessary for the enforcement of foreign judgments issued against local Saudi parties. The consultation also illustrated the alternatives legal means which can be adopted by the foreign parties against the Saudi counterparts breaching their contractual obligations. The consultation was presented to Malaysian Airport holding Berhad Co.
Second: Privatization Experience
Prima Law & Consultants Co. acted as the Legal advisor for numerous privatization projects and prepared all legal review reports for each project.
The group has also undertaken restructuring projects in the Kingdom of Saudi Arabia, as well as the preparation of various types of reports related to the regulatory environment, approvals reports, legal risks reports, contract and agreement reports and restructure planning reports.
Moreover, Prima Group participated in the establishment of the companies required for the implementation of privatization options, including drafting the documents related to the establishment of such companies in accordance with Client’s instructions, handling incorporation procedures and the follow-up with the competent Saudi agencies.

Third: Legal Consultancy Services& Legal Support
♦ Regulations and Laws :
1- Prima Group prepared legal, financial and administrative legal advice based on the provisions of the Saudi Labour Law in detailing to the regulatory rights and obligations of the public joint-stock companies towards their employees regarding hours and duties of overtime work, and possible secondment of employees to other allies and affiliated companies or subsidiaries. This legal advise was presented to both Shuaibah Water & Electricity Company (SWEC) and Shuaibah Expansion Project Company (SEPCO) as a public joint-stock
2- Acting as the legal Advisor for the National Water Company.
3- Providing a number of legal consultations advices on diffrent matters to the World Bank.
4- Prepared legal, administrative consultation explaining the most appropriate framework for the form of a proposed limited liability company intended to be established in Saudi Arabia by a consortium comprising of three international and local companies working to excecute one of the major vital projects in Saudi Arabia. The relevant study was presented to the consortium engaged with execution of the Mecca Metro Project (i.e Corsan – Corrviam Constraxiom general contracting company, Spain, Kolin general Construction company, Turkiye and Haif Trading and Contracting Co. ,Saudi Arabia).
5- acting as thr legal counsel of the Saudi General Investment Authority in relating to the provision of legal advice and services connected to the Saudi Foreign Investment Law and relevant Bylaws.
6- Prima Law and Consultations Co. Conducted a number of other legal studies relating to the Saudi laws and regulations for the Saudi Arabian General Investment Authority, in relation to Government Tenders & Procurement Law, the Saudi Foreign Investment Law & its Implementing Regulations.
7- Prima Group conducted a number of studies and drafted proposed laws for a number of government agencies including the Ministry of Water & Electricity, the Grain Sailos and Flour Mills Organisation and the National Water Company.
♦ Banks :
1- Prima Group is the advisor that founded the Trade Bank of Iraq in the city of Riyadh.
2- Preparation of a consultations regarding to the obligations of foreign banks, issuing counter –guarantees, towards local banks which where submitted to the Export-Import Bank of China.
3- Provided consultations services to the Shinsei Bank of Japan, in connection with the proposed Financings for the Third Expansion the Project of the Eastern Petrochemical Company “SHARQ”.
4- Provided consultations services to M/S Mitsui Sumitomo Insurance Company Limited which is Japanese Co. based in Tokyo, in connection with Projects intended to be implemented by the company in the Kingdom of Saudi Arabia.
5- Provided Consultation services for the Export-Import Bank of the United States (“Ex-Im Bank”) in connection with a Shariah compliant financing transaction.
♦ Financing :
1- Acting as the Legal Advisor for Saudi Arabian Airlines (Saudia) regarding the project related to the financing of purchasing a fleet comprising of 70 new Boeing and Airbus.
2- Prima Group participated in the restructuring and merger of a Saudi finance company in collaboration with one of the major Saudi banks for a value of SR 6.5 billion.
3- Prima Group acting as the strategic and Shariah advisor for Bani Annajjar Lands Auction in Al-Madinah Al-Munawarah project valued at SR. 2.5 billion.
4- Prima Group prepared a Due Diligence Report on the documents of a real estate investment fund established by a limited partnership company in the United States of America. The report was prepared from a legal and investment perspective with regard to the Middle East region, and from a marketing perspective the fund’s stocks in Saudi Arabia. The report was presented to Northstar Fund, JB (Ltd).

Sixthy: Shariah- Compliant Financing Consultation Services
Prima Group, represented by the Shariah Consulting team, provides the following advisory and foundational services :

2- The Study of all programs, products, and financing agreements
Prima Group studies and documentation of all programs, products, financing agreements, and any other documents related to them under approvals and/or Shariah accreditation certificates issued by Shariah Committee consisting of three qualified Shariah members specialized in Islamic financial transactions jurisprudence (Fiqh). The Committee is headed by an international Shariah expert who is a member of the Shariah board of the Accounting and Auditing Organization for Islamic Financial Institutions (AAOIFI) and has over 20 years of experience.
3- Shariah Consultations and Studies
Prima Group provides Shariah consultations ragarding direct and indirect financing operations from the organaization and all programs, products and financing agreements, and any other documents related thereto.
4- Shariah auditing and review
Prima Group conducts periodic Shariah audits and reviews of direct and indirect financing operations implemented annually, quarterly, or during ant other periods as requested by the organization , and issue relevant Shariah review reports that are approved by the Shariah committee mentioned in paragraph No. 2 above.

Seventh: Litigation
Litigation and disputes of diversified cases and disputes had been handled by Prima Law and Consultation Co. before varios judicial, quasi-Judicial and administrative bodies. Also, we present examples of the most prominent of these as follows:
♦ Diversified Cases
– Legal Counsel, to the Saudi National Water Company, in – relation to the provision of legal advice , litigation services, of judicial disputes filed by or against the Saudi National Water Company , and drafting of defense briefs detailing its position in them. We have pleaded in 69 legal actions for the company.
– Legal Counsel to the, Saudi Arabian Damas Jewellery Co. Representing Damas by Prima Law Company before Saudi Judicial bodies ( General Court, Court of Appeal, Labour Court and Enforcement Court) in eight (8) cases for the company.
– Legal Counsel to, Absal John Paul Contracting Co., providing legal opinion concerning potential disputes, and offering legal support through handling litigation and arbitration actions.
♦ International Jurisdictional Dispute :
This case had been subjected to Prima’s legal study and the drafting of briefs for submission to the Paris Appellate Court in a lawsuit filed by a multi-national company against a major industrial Saudi company regarding the former’s asserted entitlements under a construction contract. The claimed amount exceeded half a million Saudi Riyals
♦ Claim for Price Difference:
This claim was brought before the Court of Grievances against one of Prima’s Clients, which was a major industrial company claiming more than 800 million Saudi Riyals. Decisions were rendered by the courts of first instance and appeal in favor of Prima’s client.
♦ Committee for Resolution of Securities Disputes:
Prima pleaded on behalf of its client on a claim filed by the Saudi Capital Market Authority that exceeds 300 million Saudi Riyals and succeeded at both the first instance court and appellate court to reduce the amount of the claim and rule out the incarceration penalty demanded by the prosecution in its indictment.
♦ Compensation :
A lawsuit for real estate compensation in the amount of one billion and four hundred million riyals (1,400 million riyals) was brought against the Ministry of Finance and the Ministry of Municipal and Rural Affairs. This case was decided in favor of the client. A major commercial company filed a claim for compensation in the value of 600 million Saudi Riyals against agovernmental company in Saudi Arabia, which is still under review by the competent court.
♦ Real Estate :
Several real estate lawsuits were handled by Prima, with a total value exceeding 3 billion Saudi Riyals. Some of them were decided in favor of our clients, and others are still under process before the competent court.
♦ Administrative :
The company has initiated several administrative lawsuits, the most prominent of which is a lawsuit against a government agency in which we represent one of the largest contracting companies in the Kingdom to claim amounts of approximately 200 million Saudi riyals.
♦ Labor :
The company has initiated several labor lawsuits on behalf of its clients, working as foreign employees for major Saudi distribution and marketing companies in the Kingdom, and has recovered its clients’ full entitlements. The company has also recently initiated, since January 2021, a number of labor cases for one of the major jewelry companies; a number of them have been won, while others are still under consideration.

Secondly: Amendments to the Saudi labour Law
All stages of the Saudi Labor Law Project have been successfully accomplished, according to the respective completion certificates below, as follows:
